Affiliate Program Terms

1. Independent-Contractor Relationship
You are an independent contractor of Axis Research LLC, doing business as Axis Direct Labs. Nothing in this Agreement creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and Axis Research LLC. You are solely responsible for your own business activities, expenses, and compliance with applicable laws.
2. No Employment Relationship
Affiliates are not employees of Axis Research LLC. You are not entitled to any employee benefits, salary, workers’ compensation, tax withholding, or unemployment coverage. You are responsible for your own income, self-employment, and other taxes.
3. Approval Is Discretionary
Submission of an affiliate application does not guarantee acceptance. Axis Research LLC reviews each application individually and may approve, waitlist, or decline any applicant in its sole discretion. Axis Research LLC may also suspend or terminate any affiliate at any time for violation of this Agreement or for any other reason.
4. Commission Structure May Be Changed With Notice
Commission rates, tiers, qualifying-sale definitions, and payout terms may be updated by Axis Research LLC with reasonable advance notice. Continued participation after any change constitutes acceptance of the updated terms.
5. Qualifying-Sale Definition
A qualifying sale is a completed, paid, non-refunded order placed by a new or existing customer using your referral link or assigned discount code within the active attribution window. Commission is earned only on the product subtotal and excludes taxes, shipping, and any separately listed fees.
6. Refund and Chargeback Reversals
Commissions may be reversed in full or in part for refunded orders, canceled orders, chargebacks, disputes, fraud, or any transaction that is not ultimately collected by Axis Research LLC. Reversed commissions will be deducted from pending or future payouts.
7. Prohibited Medical and Human-Use Claims
You agree not to make any medical, treatment, dosage, safety, efficacy, or human-use claims about Axis Direct Labs products. All products are sold for research use only. You must use only approved promotional language and may not represent the products as dietary supplements, drugs, or for human consumption.
8. Required Affiliate Disclosures
You agree to clearly disclose your affiliate relationship wherever legally required, including on websites, social media, video descriptions, emails, and any paid promotion, in accordance with applicable Federal Trade Commission and other disclosure rules.
9. Approved and Prohibited Promotional Methods
Approved methods include honest reviews, educational content, and transparent sharing of your referral link. Prohibited methods include spam, misleading advertising, fake reviews, trademark bidding, coupon abuse, unauthorized paid advertisements, and any tactic that misrepresents Axis Direct Labs or its products.
10. Intellectual-Property Rules
Axis Research LLC grants you a limited, revocable, non-exclusive license to use approved Axis Direct Labs marks, logos, and marketing materials solely for the purpose of promoting the affiliate program. You may not modify, re-register, or misuse any Axis Direct Labs intellectual property. All rights not expressly granted are reserved.
11. Confidential Information
Any non-public information shared with you, including commission rates, payout data, customer information, or business metrics, is confidential. You may not disclose, sell, or misuse confidential information during or after your participation in the program.
12. Tax Responsibility
You are responsible for your own taxes. Approved United States affiliates must provide a completed IRS Form W-9 before receiving commission payouts. Axis Research LLC will provide applicable tax reporting forms when required by law. You are an independent contractor and are responsible for your own tax filings.
13. Suspension and Termination
Axis Research LLC may suspend or terminate any affiliate for violation of this Agreement, fraud, inactivity, or any conduct harmful to the brand. Upon termination, any pending commissions may be forfeited and you must immediately cease use of all Axis Direct Labs materials and referral links.
14. Fraud and Self-Referrals
Self-referrals, fraudulent orders, fake accounts, or any attempt to artificially generate commissions is strictly prohibited and will result in immediate termination and forfeiture of any unpaid commissions.
15. Governing Law
This Agreement is governed by the laws of the jurisdiction in which Axis Research LLC is organized, without regard to conflict-of-law principles. Any disputes will be resolved in the appropriate courts of that jurisdiction.
16. Right to Update the Agreement
Axis Research LLC reserves the right to update this Agreement at any time. The effective date and version number will be revised accordingly. Continued participation after any update constitutes acceptance of the revised terms.
